Welcome to Site Craft Innovation. These Terms of Service (“Terms”) govern your use of our website (sitecraftinnovation.com.np) and the digital marketing, IT, and technology services we provide. By accessing our website or engaging our services, you agree to be bound by these Terms in accordance with the Electronic Transactions Act 2063 (2006) and the Contract Act 2056 (2000) of Nepal.
1. Definitions
- “Company,” “we,” “us,” “our” refers to Site Craft Innovation, registered and operating from Khumaltar-15, Lalitpur, Nepal.
- “Client,” “you,” “your” refers to any individual or entity accessing our website or using our services.
- “Services” refers to all digital marketing, web development, app development, SEO, UI/UX design, cloud infrastructure, email marketing, remote IT staffing, and related IT services provided by Site Craft Innovation.
- “Website” refers to sitecraftinnovation.com.np and all associated subdomains.
- “Deliverables” refers to all work products, designs, code, content, or materials produced as part of our services.
2. Acceptance of Terms
By accessing our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must discontinue use of our website and services immediately. These Terms constitute a legally binding agreement as recognized under the Electronic Transactions Act 2063 of Nepal.
3. Services We Provide
Site Craft Innovation offers the following services:
- Digital Marketing (SEO, PPC, Content Marketing, Social Media Marketing)
- Web Development and Design
- Mobile Application Development
- UI/UX Design
- Cloud and IT Infrastructure Solutions
- Email Marketing
- Remote IT Staffing and Outsourcing
- Brand Identity and Graphic Design
Specific terms, scope, timelines, and deliverables for each project will be outlined in a separate service agreement or proposal mutually agreed upon by both parties.
4. Service Agreements and Project Scope
All service engagements require a written agreement (proposal, contract, or statement of work) specifying:
- Scope of work and deliverables
- Project timeline and milestones
- Payment terms and schedule
- Revision and change request policies
- Responsibilities of both parties
Any changes to the agreed scope of work must be documented in writing and may be subject to additional charges and revised timelines.
5. Payment Terms
- Payment terms will be specified in the individual service agreement for each project.
- Unless otherwise agreed, a minimum advance payment (as specified in the service agreement) is required before work commences.
- All payments shall be made in Nepalese Rupees (NPR) or as otherwise agreed in the service agreement.
- Payments can be made via bank transfer, digital wallets (eSewa, Khalti, etc.), or other methods agreed upon by both parties.
- Late payments beyond the agreed due date may incur a late fee as specified in the service agreement.
- All applicable taxes, including VAT as per Nepal's tax laws, will be added to the quoted prices where applicable.
6. Intellectual Property Rights
a) Client's Intellectual Property
All content, materials, logos, trademarks, and data provided by the client remain the sole property of the client. By providing such materials, you grant us a limited license to use them solely for the purpose of delivering the agreed services.
b) Company's Intellectual Property
Upon full payment, ownership of custom deliverables (designs, code, content) created specifically for the client will be transferred to the client, unless otherwise stated in the service agreement. We retain the right to use general techniques, knowledge, tools, and frameworks developed during the project.
c) Portfolio Rights
We reserve the right to showcase completed projects in our portfolio, website, and marketing materials unless a non-disclosure agreement (NDA) is in effect.
7. Client Responsibilities
To ensure smooth project delivery, the client agrees to:
- Provide accurate and complete information, content, and materials as required
- Respond to communications and feedback requests in a timely manner
- Provide necessary access to accounts, platforms, or systems as needed for service delivery
- Ensure that all provided content does not violate any third-party intellectual property rights or laws of Nepal
- Make payments as per the agreed schedule
Delays caused by the client in providing required materials or feedback may result in adjusted project timelines.
8. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement. This obligation survives the termination of the service agreement and is enforceable under the laws of Nepal.
9. Warranties and Disclaimers
- We will perform our services with reasonable skill and care in accordance with industry standards.
- We do not guarantee specific results from digital marketing services (e.g., search engine rankings, traffic volumes, conversion rates), as these depend on various external factors beyond our control.
- Our website and services are provided “as is” without any warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose.
- We do not warrant that our website will be uninterrupted, error-free, or free from viruses or harmful components.
10. Limitation of Liability
To the maximum extent permitted under the laws of Nepal:
- Site Craft Innovation shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our website or services.
- Our total liability for any claim arising from or related to our services shall not exceed the total amount paid by the client for the specific service giving rise to the claim.
- We are not liable for any loss or damage resulting from circumstances beyond our reasonable control, including but not limited to natural disasters, internet disruptions, government actions, or force majeure events.
11. Termination
- Either party may terminate a service agreement by providing written notice as specified in the individual service agreement.
- Upon termination, the client shall pay for all work completed up to the date of termination.
- We reserve the right to terminate services immediately if the client breaches any of these Terms or engages in unlawful activities.
- Upon termination, we will deliver all completed deliverables for which payment has been received.
12. Website Usage
When using our website, you agree not to:
- Use the website for any unlawful purpose or in violation of any applicable laws of Nepal
- Attempt to gain unauthorized access to any part of the website or its systems
- Transmit any viruses, malware, or harmful code
- Reproduce, duplicate, copy, or exploit any part of the website for commercial purposes without our written permission
- Use automated systems (bots, scrapers) to access the website without prior written consent
- Engage in any activity that could damage, disable, or impair the website's functionality
13. Indemnification
You agree to indemnify and hold harmless Site Craft Innovation, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your breach of these Terms, your use of our services, or your violation of any applicable law or third-party rights.
14. Force Majeure
Neither party shall be liable for any failure or delay in performance resulting from causes beyond their reasonable control, including but not limited to natural disasters (earthquakes, floods), pandemics, strikes, government actions, internet or power outages, or any other events constituting force majeure under Nepal law.
15. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Nepal, including the Contract Act 2056 (2000), the Electronic Transactions Act 2063 (2006), and other applicable legislation.
Any disputes arising from or in connection with these Terms shall be resolved as follows:
- Negotiation: The parties shall first attempt to resolve any dispute through good faith negotiation.
- Mediation: If negotiation fails, the dispute shall be referred to mediation as per the Mediation Act 2068 (2011) of Nepal.
- Jurisdiction: If mediation is unsuccessful, the dispute shall be submitted to the jurisdiction of the competent courts of Lalitpur, Nepal.
16. Amendments
We reserve the right to update or modify these Terms at any time. Changes will be posted on this page with a revised “Last Updated” date. Continued use of our website or services after any modifications constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.
17. Severability
If any provision of these Terms is found to be unenforceable or invalid under Nepal law, such provision will be modified to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
18. Privacy
Your use of our website and services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information in compliance with Nepal's Privacy Act 2075 (2018).
